Nhà nước Việt Nam khuyến khích và tạo điều kiện thuận lợi để các Tổ chức phi chính phủ nước ngoài thực hiện hoạt động nhân đạo, phát triển tại Việt Nam. Để được hoạt động tại Việt Nam, các Tổ chức phi chính phủ nước ngoài phải đăng ký với cơ quan nhà nước có thẩm quyền của Việt Nam theo quy định tại Nghị định số 12/2012/NĐ-CP. Sau đây, Công ty Luật AMI xin gửi đến Quý bạn đọc điều kiện và trình tự đăng ký hoạt động đối với Tổ chức phi chính phủ nước ngoài theo quy định pháp luật / The Vietnamese State encourages and creates favorable conditions for foreign non-governmental organizations to carry out humanitarian and development activities in Vietnam. In order to operate in Vietnam, a foreign non-governmental organization must register with competent agencies of Vietnam in accordance with Decree No. 12/2012/NĐ-CP. Ami Law Firm hereby would like to provide provisions in terms of requirements and procedures for registering the operation for NGOs.
Điều kiện để Tổ chức Phi chính phủ nước ngoài (Tổ chức PCPNN) được cấp Giấy đăng ký hoạt động tại Việt Nam / Requirements for a foreign non-governmental organization is granted an operation registration certificate in Vietnam:
– Có tư cách pháp nhân theo pháp luật của quốc gia nơi thành lập / Have the legal person status under the law of the country in which it is established; and
– Có điều lệ, tôn chỉ hoạt động rõ ràng / Have a clear operation charter and guidelines; and
– Có kế hoạch hoạt động nhân đạo, phát triển tại Việt Nam thông qua các chương trình, dự án hoặc viện trợ phi dự án phù hợp với chính sách phát triển kinh tế – xã hội của Nhà nước Việt Nam / Have a plan on humanitarian and development activities in Vietnam through programs, projects or non-project aids in line with socio-economic development policies of the Vietnamese State.
Trình tự thực hiện thủ tục cấp Giấy đăng ký hoạt động cho Tổ chức PCPNN / Procedures for granting the operation registration certificate for NGOs:
Bước 1: Tổ chức PCPNN nộp hồ sơ đầy đủ tới Ủy ban công tác về các tổ chức PCPNN (Ủy ban) theo cách thức sau: / Step 1: The NGO submits a full dossier to the Committee for Foreign Non-Governmental Organization Affairs (Committee) in the following ways:
+ Nộp trực tiếp tại trụ sở Cơ quan thường trực của Ủy ban; hoặc / Face to face transaction at the office of the standing body of the Committee; or
+ Thông qua Cổng thông tin điện tử của Ủy ban; hoặc / Through the portal system of the Committee;
+ Thông qua hệ thống bưu chính; hoặc / By post; or
+ Thông qua Cơ quan đại diện Việt Nam ở nước ngoài / Through a foreign-based Vietnamese representative mission.
Bước 2: Cơ quan thường trực của Ủy ban tiến hành tiếp nhận và xử lý hồ sơ, lấy ý kiến các cơ quan liên quan / Step 2: The standing body of the Committee receives and processes the dossier and consults relevant agencies.
Bước 3: Cơ quan thường trực của Ủy ban tổng hợp ý kiến và chuyển hồ sơ sang Bộ ngoại giao để xem xét cấp Giấy Đăng ký hoạt động cho tổ chức / Step 3: The standing body of the Committee collects comments and transmits the dossier to the Ministry of Foreign Affairs for consideration and issuance of the operation registration certificate.
Bước 4: Bộ ngoại giao chuyển kết quả cho Cơ quan thường trực của Ủy ban để thông báo cho tổ chức PCPNN / Step 4: The Foreign Affairs Ministry sends back the results to the standing body of the Committee to notify the NGO.
Giấy đăng ký hoạt động do người có tên trong đơn đăng ký hoặc người được ủy quyền nhận trực tiếp tại Ủy ban hoặc nhận qua đường bưu điện. Người được ủy quyền phải xuất trình giấy ủy quyền và giấy tờ tùy thân khi nhận / The certificate of operation registration is received by the application signce or an authorized person directly at the office of the Committee or by post. The authorized person is required to present a letter of authorization and personal paper when transactions.
Thành phần hồ sơ / List of documents:
– Đơn đề nghị do người có thẩm quyền của tổ chức ký / An application form signed by a competent person;
– Bản sao Điều lệ của tổ chức PCPNN đã được hợp pháp hóa lãnh sự (trừ trường hợp điều ước quốc tế mà Việt Nam ký kết hoặc gia nhập có quy định khác) / A copy of the NGO’s charter which is consularly legalized unless otherwise provided by a treaty which Vietnam has signed or acceded to;
– Bản gốc hoặc bản sao Giấy chứng nhận tư cách pháp nhân của tổ chức PCPNN do cơ quan có thẩm quyền nơi tổ chức thành lập hoặc đặt trụ sở chính cấp đã được hợp pháp hóa lãnh sự (trừ trường hợp điều ước quốc tế mà Việt Nam ký kết hoặc gia nhập có quy định khác) / The original or a certified copy of the legal status certificate issued by a competent authority of the country in which the organization is established or headquartered, which is consularly legalized, unless otherwise provided by a treaty which Vietnam has signed or acceded to;
– Hồ sơ về người dự kiến làm đại diện của tổ chức PCPNN tại Việt Nam / Documents of the person expected to be the representative of the NGO in Vietnam:
- Quyết định bổ nhiệm do người đứng đầu của tổ chức ký / Decision on appointment signed by the head of the NGO;
- Lý lịch cá nhân hoặc CV / Brief resume or curriculum vitae;
- Bản sao Hộ chiếu/CMND/CCCD / Copy of passport/ID Card/Citizen ID Card;
- Lý lịch tư pháp: Trường hợp là người nước ngoài không cư trú tại Việt Nam, lý lịch tư pháp phải được hợp pháp hóa lãnh sự (nếu đã cư trú ở Việt Nam trên 6 tháng thì phải có thêm 01 bản chính Lý lịch tư pháp do cơ quan có thẩm quyền của Việt Nam cấp). Phiếu lý lịch tư pháp có giá trị trong vòng 06 tháng tính đến thời điểm nộp hồ sơ / Judicial record: The foreigner representative not residing in Vietnam must have a judicial record, which is consularly legalized; in case he or she resides in Vietnam for more than 6 months, an original judicial record issued by the competent authority of the Vietnamese state is required. The judicial record must be within 6 months validity from the date of issuance up to the time of submission.
– Kế hoạch hoạt động tại Việt Nam / Plan of activities in Vietnam.
– Tài liệu khác (nếu có): Bản sao văn kiện dự án,… / Other documents (if any): Copy of project document….
Số lượng hồ sơ / Quantity of dossier:
– 01 bộ bản gốc (Trường hợp hồ sơ được lập bằng tiếng nước ngoài thì phải kèm theo bản dịch tiếng Việt đã chứng thực hợp lệ) / 01 original set (a dossier in a foreign language must be enclosed with a lawfully certified Vietnamese translation);
– 01 bộ bản photo / 01 copy set.
Thời hạn giải quyết: Không quá 45 (bốn mươi lăm) ngày làm việc kể từ ngày nhận đủ hồ sơ hợp lệ / Duration: Within 45 (forty five) working days after receiving a complete and valid dossier
Kết quả thủ tục: Giấy đăng ký hoạt động hoặc thư thông báo từ chối cấp Giấy đăng ký hoạt động / Result of procedure: an operation registration certificate or a notice on refusal of issue of operation registration certificate.
Thời hạn của Giấy đăng ký hoạt động: Thời hạn của Giấy đăng ký hoạt động là 03 (ba) năm kể từ ngày cấp. Giấy đăng ký hoạt động sẽ hết hiệu lực trong các trường hợp sau / Term of operation registration certificate: The certificate is valid for 03 (three) years from the issuance date. The certificate will be invalid when:
– Vượt quá thời hạn đăng ký hoạt động của Tổ chức PCPNN tại nơi thành lập hoặc đặt trụ sở chính (nếu có) / Its validity term exceeds the operation registration time limit of the NGO in the country in which that organization is established or headquartered (if any);
– Tổ chức PCPNN được cấp Giấy đăng ký lập văn phòng dự án hoặc văn phòng đại diện tại Việt Nam / The NGO has obtained a Vietnam-based project office or representative office registration certificate.
